The two top officials at Constellation Brands’ Inc. saw a drop in their total compensation in 2012, a filing with the Securities & Exchange Commission shows.
Robert Sands, president and CEO, received total compensation of $7.7 million in 2012. The package included a base salary of $1.2 million; stock awards totaling $2.3 million; option awards totaling $2.1 million; non-equity incentive plan compensation of $1.6 million; and other compensation totaling $414,000.
That compares with 2011 when Sands received total compensation of $8.5 million with a base salary was $1.1 million; stock awards totaling nearly $2.3 million, option awards of $2.1 million, non-equity inventive compensation of $2.6 million and all other compensation totaling $310,000.
Richard Sands, Constellation Brands chairman, received total compensation of nearly $6.7 million in 2012. The package included a base salary of nearly $1.2 million; option awards totaling $3.4 million; non-equity incentive plan compensation of nearly $1.6 million; and other compensation of $504,000. That compares with 2011 when Sands’ base salary was $1.1 million; option awards were $3.5 million, non-equity compensation of $2.6 million; and other compensation totaled $557,000.
His total compensation in 2011 was $7.8 million.
The other top Constellation Brands’ executives’ 2012 compensation:
- Robert Ryder, executive vice president and chief financial officer: total compensation of nearly $2.6 million. He received a base salary of nearly $590,000; stock awards of $682,000; option awards of $792,000; non-equity incentive compensation plan of nearly $466,000; and other compensation totaling $42,000;
- Keith Wilson, executive vice president and chief human resources and administrative officer: total compensation of $2.3 million. He received a base salary of $538,000; stock awards of nearly $623,000; option awards of $723,000; non-equity incentive plan compensation of nearly $425,000; and other compensation totaling $27,000;
- John Wright, executive vice president and chief operating officer: total compensation of $2.4 million. He received a base salary of $570,000; stock awards of $615,000, option awards of nearly $715,000; non-equity incentive plan compensation of nearly $451,000; and other compensation of $50,000.
Victor-based Constellation Brands is slated to release its first-quarter financial results June 29. It plans to hold its annual meeting July 27 at the Callahan Theater at Nazareth College of Rochester Arts Center.
